Terms & Conditions

These terms govern all services provided by 852 Recordings (James Mensah, sole proprietor, England & Wales).

Definitions

Producer — 852 Recordings, trading as James Mensah, registered in England and Wales.

Client — The person, company, or organisation invoiced for services.

Media — Video, audio, music, voice-overs, and any other recorded works.

Reproduction — Copying, editing, distributing, broadcasting, or any use of Media in whole or in part.

Session — Any booking date and services carried out by the Producer.

Copyright

The Producer retains full worldwide copyright of all Media. The Client receives a non-exclusive, perpetual licence to use the Media for internal and external business purposes including marketing and advertising.

Any use beyond the agreed scope requires prior written consent from the Producer. The Producer reserves the right to credit authorship under UK copyright law.

Usage Rights

Rights granted are non-exclusive and non-transferable unless stated on the invoice. Media may not be altered without the Producer's prior written consent.

Payment

Full payment is due at least 48 hours before the session. Where the Producer agrees to accept payment after the session, full payment is required within 3 working days.

Until full payment is received, the Client has no rights to reproduce, publish, or use any Media. Late payment constitutes copyright infringement. Overdue invoices allow the Producer to charge statutory interest, cancel the agreement, and pursue legal action.

Deposits

A minimum 50% non-refundable deposit is required at least 48 hours before the session to secure a booking. The deposit amount may vary depending on the job.

Cancellations

More than 48 hours before — Full refund.

24–48 hours before — 25% refund.

Less than 24 hours before — No refund.

No show — No refund.

Refund Policy

If you are unhappy with the finished Media, a partial refund of up to 50% may be considered, subject to the following:

A written refund request must be submitted within 7 days of receiving the final Media, clearly stating the reasons for dissatisfaction.

The Producer will review the request. Refunds are not granted for subjective creative differences or changes in requirements made after the initial agreement.

Approved refunds will be returned within 7 working days.

Delivery

Final Media will be delivered digitally within 14 working days of the session, or a mutually agreed timeline. Any issues must be reported within 7 days of receipt, after which the Media is deemed accepted.

The Producer reserves the right to withhold all Media until the full balance is paid. If payment is not received within 14 days of the session, the Producer may cancel the agreement, retain the deposit, and delete all Media.

Media Archiving

The Producer will archive files for a maximum of 28 calendar days after confirmed delivery. It is the Client's responsibility to securely store Media once received. The Producer has no obligation to store files beyond this period.

Releases

For Media featuring recognisable individuals, the Client is responsible for obtaining all necessary releases for the intended use.

Confidentiality

The Client agrees to keep confidential any business information shared by the Producer, including pricing, customer data, and business plans.

Liability

The Producer is not liable for any damages arising from the Client's use of the Media. The Client indemnifies the Producer against any claims resulting from unauthorised use.

Complaints

Any complaint must be submitted in writing within 7 days of discovering the issue. The Producer will investigate and respond within 14 days. Where appropriate, corrective action may be taken.

Governing Law

This Agreement is governed by English law. Disputes will first be handled by negotiation, followed by confidential binding arbitration if required.
